ZVEOTEC CROWDFUNDING TERMS AND CONDITIONS

1. INTRODUCTION
By backing our project on zveotec.com (the “Platform”), you agree to these Terms and enter into a legally binding agreement with Zveometics Ltd (“we”, “us”, “our”). If you do not agree, you must not back the project.
You must be at least 18 years old to participate.
2. WHO WE ARE

3. NATURE OF THE CAMPAIGN (CROWDFUNDING DISCLOSURE)
This is a crowdfunding campaign to support the development of a product (the “Project”). It is not a traditional retail purchase or guaranteed sale.
By backing the Project, you expressly acknowledge and agree that:
- you are supporting the development of a product that does not yet exist in final manufactured form;
- rewards are contingent on successful development, production, and fulfilment;
- delays, design changes, feature changes, or cancellation may occur;
- all timelines are estimates only and not binding delivery commitments;
- unforeseen technical, manufacturing, regulatory, or logistical issues may prevent or delay completion;
- your contribution is made in support of the Project, not in exchange for a guaranteed product;
- we do not guarantee success of the Project or delivery of any reward.
Nothing in these Terms excludes or limits your statutory consumer rights where applicable.
4. ELIGIBILITY
You must:
- be at least 18 years old; and
- act as a consumer (not for business purposes).
5. HOW BACKING WORKS
To back the Project:
- Select a reward level;
- Provide payment details;
- Complete checkout.
A binding agreement is formed upon payment confirmation.
Payments are processed by third-party providers (e.g. Stripe, PayPal), whose terms apply separately.
6. RISK ACKNOWLEDGEMENT
By backing this Project, you explicitly acknowledge and accept that crowdfunding involves significant risk, including but not limited to:
- production delays or indefinite delays;
- changes to product design, features, or specifications;
- manufacturing failure or inability to complete production;
- regulatory or legal restrictions affecting distribution;
- loss of funds due to project expenses;
- cancellation of the Project after funding.
You agree that backing the Project is made in reliance on the development effort, not on a guaranteed outcome.
7. CAMPAIGN SUCCESS AND FAILURE
7.1 Successful Campaign
If funding is achieved, we will:
- use reasonable efforts to develop and complete the Project;
- provide periodic updates via email and the Platform;
- request confirmation of shipping details via backer form;
- attempt fulfilment of rewards if production is completed.
7.2 Project Changes
We may, acting reasonably:
- modify product design or features;
- substitute materials or components;
- adjust packaging or specifications;
- implement improvements necessary for manufacturing or compliance.
Such changes will not constitute breach of contract.
7.3 Project Failure or Cancellation
If the Project cannot be completed, we will:
- provide a transparent explanation of progress and use of funds;
- cease further development activities; and
- where reasonably possible, distribute remaining funds proportionally to backers after deduction of reasonable costs incurred in development, manufacturing, and fulfilment efforts.
No guarantee of full refund applies due to the nature of crowdfunding.
8. BACKER RESPONSIBILITIES
You must:
- provide accurate and complete contact and shipping information;
- keep details updated;
- complete any required backer forms by stated deadlines.
Failure to do so may result in:
- delay or non-delivery;
- additional reasonable administrative charges; or
- cancellation of your reward.
9. REWARDS
Rewards are early-stage or production units of a developing product and may differ from promotional materials.
Images, prototypes, and descriptions are illustrative only.
We may make reasonable modifications during development to ensure functionality, compliance, or manufacturability.
10. ADD-ONS
Add-ons may be offered during the backer fulfilment process.
All add-ons are subject to applicable consumer protection laws.
Nothing in these Terms limits your statutory rights in relation to defective or misdescribed goods.
11. PRICING AND PAYMENT
Prices include reward cost and stated shipping fees.
You are responsible for any customs duties, import taxes, or regulatory charges in your country.
12. SHIPPING AND DELIVERY
We will ship from international fulfilment hubs as appropriate.
Delivery timelines are estimates only and not guaranteed.
12.1 Import Compliance
You are responsible for ensuring the product is legal to import into your jurisdiction. We are not responsible for customs seizures or regulatory restrictions.
12.2 Delivery Issues
We are not responsible for delivery failures caused by incorrect or incomplete address information provided by you.
13. CONSUMER RIGHTS
We comply with applicable consumer protection laws including the Consumer Rights Act 2015.
Your statutory rights include goods being:
- as described;
- fit for purpose; and
- of satisfactory quality.
These rights are not affected by these Terms.
14. CANCELLATION RIGHTS
You may have a statutory right to cancel within 14 days under the Consumer Contracts Regulations 2013.
However, you acknowledge that:
- the Project involves goods not yet manufactured;
- production may begin immediately following funding;
- cancellation rights may not apply once production has commenced, where legally permitted.
15. PAYMENT DISPUTES AND CHARGEBACKS
If you have any issue with your payment or reward, you agree to contact us first so we can attempt to resolve the matter.
Nothing in these Terms prevents you from exercising your legal rights with your payment provider or under applicable law.
We reserve the right to provide evidence of agreement, delivery attempts, and communications in the event of a payment dispute.
16. TERMINATION
16.1 By You
You may terminate this agreement if we materially breach these Terms and fail to remedy such breach within a reasonable time.
16.2 By Us
We may terminate if you:
- provide false or incomplete information;
- fail to complete required steps;
- prevent fulfilment of delivery; or
- materially breach these Terms.
We may deduct reasonable costs incurred before termination.
17. LIABILITY
We are liable for foreseeable losses arising from our breach of these Terms.
We do not exclude liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- breach of statutory consumer rights.
We are not liable for business losses.
18. FORCE MAJEURE
We are not liable for failure or delay caused by events beyond our reasonable control, including but not limited to:
- manufacturing disruption;
- supply chain failures;
- labour disputes;
- government restrictions;
- natural disasters;
- transport disruption.
In such cases, timelines will be extended accordingly.
19. DATA PROTECTION
We process personal data in accordance with UK GDPR and the Data Protection Act 2018.

20. GENERAL TERMS
- We may transfer this agreement to another entity;
- If any provision is invalid, the remainder remains in force;
- Failure to enforce rights does not constitute waiver;
- This contract is governed by English law.
Consumers in Scotland or Northern Ireland may bring proceedings in their local courts.
